The incumbent is in charge of the EMEA legal and contracts function in EMEA. In such capacity, the incumbent guarantees that the legal and contractual risks of the business with EMEA are permanently and fully anticipated, identified and mitigated and manages the drafting, negotiation and performance of all contractual matters pertaining to nCipher within the region.  

 

In particular, the incumbent supports nCipher, and Entrust Datacard company in the EMEA and APAC regions.  

 

Given the ongoing integration of nCipher into Entrust Datacard (“EDC”), the incumbent will work closely with the rest of the legal teams based in the Cambridge, UK, Sunrise, Florida and remote locations, to build a consistent global approach and process to contractual arrangements pertaining to overall operations of nCipher and EDC, including but not limited to documents that establish business relationships with vendors/suppliers, customers, partners, resellers, integrators, license/patent agreements, RFPs, non-disclosure agreements and advising the organization on appropriate legal language and actions to be taken accordingly.

 

Essential/Key Areas of Responsibility

 

  • Responsible for the drafting, negotiation, structuring, implementation, management, monitoring and resolution of contractual documents, commercial agreements, transactions and solutions for nCipher within EMEA.

  • Reviews and approves all contractual arrangements for nCipher within EMEA for protection of the organization's contractual posture and adherence to applicable policies.

  • Responsible for identifying and analyzing legal issues, drafting key documents and presenting clear recommendations.

  • Contribute to the achievement of nCipher (and EDC’s) strategic objectives by managing and developing the legal and contract function within EMEA.

  • Advise management of contractual rights and obligations and provide interpretation of terms and conditions

  • Help optimize operations of the legal and contract function through various tools (software, data repository, integration of these tools)  

  • Help develop ways to focus legal and contracts resources on value added tasks, such as creating handbooks, guidelines and other tools and trainings to empower relevant stakeholders within the organization (sales, customer success, operations, business development and marketing, etc.)

  • Ensure compatibility between different commitments, their compliance with relevant policies, their legal compliance with respect to applicable laws and regulations, and their security.

  • Proactively monitor and manage nCipher contractual commitments and any claims relating thereto.

  • Work closely with nCipher and EDC experts in ensuring that contractual commitments comply with applicable laws and regulations (including data protection and privacy laws, environmental laws (RoHS/REACH/CE), competition law, trade compliance and export control, anti-corruption, intellectual property, etc.) and actively endeavor to mitigate any risks relating thereto.     

  • Ensure the availability of legal and contract resources to respond appropriately to nCipher needs.

  • Direct, manage, coach, monitor and support the team’s development and training as applicable.

  • Interacts extensively with Sales Leadership and other key stakeholders within nCipher



Technical Knowledge/Skills & Experience Required


  • Minimum of 7+ years’ experience as counsel and/or contract management, preferably in the High Technology Industry.

  • Experience creating and negotiating master software license agreements, support, and professional services, and hardware license agreements.

  • Strong understanding of distributor, reseller and VAR business models.

  • Understanding of corporate, contract and intellectual property law.

  • Understanding of competition law, anti-bribery laws, trade compliance and export control laws, data protection and privacy laws and environmental laws (RoHS/REACH/CE).

  • Excellent verbal and written communication skills in English.

  • Strong analytical and strategic thinking skills coupled with strong organizational and time management skills.

  • Ability to work effectively in fast-paced commercial environments within a matrix organization.

  • Strong interpersonal skills and working effectively with all levels of the organization.

  • Ability to work with teams remotely across the world

  • Strong leadership and people management skills, both within Legal and across the wider business.


Educational Requirements


  • Law Degree from an accredited institution (desirable).
