Corporate Attorney


Position Overview

The primary responsibility of the Corporate Attorney is to review, draft and negotiate complex agreements for a broad range of commercial transactions (including hardware/software agreements, SaaS agreements, hosting agreements, managed services agreements, etc.) and assist the General Counsel and Human Resources department in the management and handling of all employment related matters.  The position will report directly to the General Counsel and will be a key advisor to Senior Management and business units globally.  The Corporate Attorney is expected to perform the responsibilities detailed below and other duties as assigned.     

 
Responsibilities
  • Provide in-house legal counsel on employment related matters, which may include, but are not limited to, human resources issues, wage and hour law, worker’s compensation, unemployment and other state agency claims, employee compensation and benefits, hiring and terminations, employment agreements and policy related issues, FMLA matters, and employment related litigation

  • Draft, review and negotiate commercial contracts in support of the Entrust Datacard business segments, alliances and sales associates, including software agreements, cloud-based agreements, services agreements, RFPs, consulting agreements and other technology related agreements

  • Provide legal support and guidance to a global organization on a broad range of  commercial, corporate and other transactional matters as required

  • Collaborate with internal clients at all levels to effectively minimize legal risk to the business while supporting and assisting in the achievement of the company’s business and strategic objectives

  • Develop a comprehensive understanding of the company’s business and business practices; engage in a participative and proactive style of legal practice in order to best serve internal clients

  • Gain the trust of senior management while reporting directly to and working closely with the company’s General Counsel

  • Work in collaboration with other in-house attorneys and outside counsel

  • Ensure compliance with all applicable laws, regulations and policies

  • Identify and assess legal risks and opportunities within the employment area and advise accordingly

Qualifications
Basic Qualifications
  • Minimum five years’ legal experience

  • Minimum 5 year’s of employment law experience - employee relations, hiring and terminations, discrimination, employment agreements and policy related issues, FMLA matters, and employment related litigation

  • Juris Doctor degree

  • Admission to the Bar of at least one state (preferably MN)

  • Experience drafting and negotiating sophisticated contracts, particularly with regard to commercial sales

  • Ability to travel 10%

Preferred Qualifications:
  • Prior experience with wage and hour law, worker’s compensation, unemployment and other state agency claims, and employee compensation and benefits

  • Prior experience in the areas of cloud technology agreements, data privacy and information security; ideally with the cybersecurity industry (e.g., digital certificate and PKI or similar industries)

  • Experience working with software agreements, including licensing, SaaS, hosting and managed services agreements

  • Experience with government RFP’s
  • Desire and ability to work in a fast-paced and highly challenging environment for a successful, growing company with very high expectations

  • Ability to work with cross-functional teams, take leadership role in driving solutions, and work under pressure to meet deadlines

  • Efficiently manage a large volume and variety of transactions in a global environment

  • Excellent business judgment with the ability to make decisions and give advice that demonstrates an understanding of overall business objectives

  • Superior written and verbal communication skills

  • Prior in house and/or channel experience is a plus

  • Knowledge of privacy and information security regulations a plus
